Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of laws principles.

Arbitration Clause

All disputes arising out of or relating to these Terms or your use of Groupn shall be resolved through binding arbitration. All disputes regarding Groupn, as a product of Xel Lab, Inc., shall be subject to arbitration in the State of Delaware, USA. Xel Lab, Inc. reserves the right to change the location of arbitration upon written notice to you. Arbitration will be conducted under the rules of the American Arbitration Association (AAA).

Prohibited Activities

You agree not to use Groupn for illegal, harmful, or abusive purposes, including but not limited to harming Xel Lab, Inc., the Groupn app, or its users. Any violation of this clause may result in account suspension or termination. Users are prohibited from attempting to disrupt Groupn’s services, engage in spamming, or impersonate others on the platform.

Modification of Terms

Xel Lab, Inc. reserves the right to update these Terms at any time. Material changes will be communicated to users through the app or by email.

Data Collection

Groupn collects user data such as contact information, usage analytics, and interaction logs to enhance user experience and for targeted advertising purposes. Groupn complies with the California Consumer Privacy Act (CCPA), ensuring users can request access to, deletion of, or opt-out from the sale of their data. Similar rights apply to users in jurisdictions with analogous laws.

Data Sharing

Groupn may share user data with third-party service providers for operational purposes, including analytics, payment processing, and targeted advertising. No personal data is sold without user consent as required under CCPA and similar regulations.

User Consent

By using Groupn, you consent to the collection, use, and sharing of your data as outlined in this Privacy Policy. Users in the EU, California, or other regulated jurisdictions may exercise rights to access, modify, or delete their data through our Privacy Dashboard or by contacting privacy@xellab.net.

Xel Lab, Inc. employs industry-standard security measures to protect user data from unauthorized access, alteration, or destruction. While we strive to secure user data, no method of electronic storage is entirely secure.

Groupn uses cookies, beacons, and similar technologies to improve user experience and for analytics. Users in jurisdictions requiring opt-in consent for cookies can manage their preferences in the app’s Privacy Settings. Types of Cookies Used: - Essential Cookies: Required for app functionality. - Performance Cookies: Used to analyze app usage. - Advertising Cookies: Enable targeted ads and measure ad performance.

End-User License Agreement (EULA)

This app is licensed, not sold, to you by Xel Lab, Inc. Your license is non-exclusive, non-transferable, and revocable upon breach of these Terms. You may not reverse engineer, redistribute, or modify the app. Violations of the EULA may result in legal action and account termination. The rights you grant in this license are for the limited purpose of operating and providing our Services (such as to allow us to display your profile picture and status message, transmit your messages, and store your undelivered messages on our servers for up to 60 days as we try to deliver them).

Licenses

Your Rights:

Groupn does not claim ownership of the content or information you submit to your Groupn account or through the app’s services. You must have the necessary rights to the content or information that you submit through Groupn and the authority to grant the rights and licenses outlined in these Terms. By submitting content, you affirm that you have the rights to grant Xel Lab, Inc., as the owner of Groupn, a license to use, reproduce, distribute, and display that content as described in these Terms.

Groupn’s Rights:

Xel Lab, Inc. owns all copyrights, trademarks, domains, logos, trade dress, trade secrets, patents, and other intellectual property associated with the Groupn app and its Services. You may not use Xel Lab, Inc.’s intellectual property, including copyrights, trademarks (or any similar marks), domains, logos, trade dress, trade secrets, or patents, without express written permission or except in accordance with any published Brand Guidelines. Xel Lab, Inc., owner of Groupn, may share certain operational responsibilities with its affiliates, including GlobeLink Africa, LLC. Trademarks of affiliated companies, including GlobeLink Africa, LLC, may only be used with their explicit permission.

Your License to Groupn:

By using Groupn, you grant Xel Lab, Inc. a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, create derivative works of, display, and perform the content and information you upload, submit, store, send, or receive through Groupn. These rights are granted solely for the purpose of operating, improving, and providing Groupn’s services—for example, displaying your profile picture, transmitting your messages, or storing your undelivered messages temporarily on our servers to facilitate delivery.

Groupn’s License to You:

Xel Lab, Inc. grants you a limited, revocable, non-exclusive, non-sublicensable, and non- transferable license to use the Groupn app and its services, subject to and in accordance with these Terms. This license enables you to use the app as intended and does not grant any rights or licenses by implication or otherwise unless explicitly outlined herein.

Content Moderation Policy

Groupn reserves the right to monitor and remove content that violates its Community Guidelines or is deemed harmful, illegal, or inappropriate. Automated tools and human moderators are used to enforce these policies. Users can report violations via the app’s Help Center.

Disclaimer of Release

YOU USE GROUPN AND ITS SERVICES AT YOUR OWN RISK AND SUBJECT TO THE FOLLOWING DISCLAIMERS. WE PROVIDE GROUPN "AS IS" AND "AS AVAILABLE" WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR FREEDOM FROM VIRUSES OR OTHER HARMFUL CODE. XEL LAB, AS OWNER OF GROUPN, DOES NOT GUARANTEE THAT INFORMATION PROVIDED THROUGH GROUPN IS ACCURATE, COMPLETE, OR USEFUL, OR THAT GROUPN WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED. XEL LAB IS NOT RESPONSIBLE FOR HOW USERS INTERACT WITH THE SERVICES OR FOR THE ACTIONS OR CONTENT OF USERS OR THIRD PARTIES. YOU AGREE TO RELEASE XEL LAB, ITS AFFILIATES (INCLUDING GLOBELINK AFRICA, LLC), DIRECTORS, OFFICERS, EMPLOYEES, PARTNERS, AND AGENTS ("GROUPN PARTIES") FROM ANY CLAIMS OR DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES OR THIRD-PARTY CONTENT. THIS RELEASE DOES NOT APPLY WHERE PROHIBITED BY LAW. IF YOU ARE A U.S. RESIDENT, YOU WAIVE YOUR RIGHTS UNDER CALIFORNIA CIVIL CODE §1542, WHICH STATES: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH, IF KNOWN, WOULD HAVE MATERIALLY AFFECTED THE SETTLEMENT." Children’s Online Privacy Protection (COPPA)

Groupn is not intended for use by children under 13 years of age. If we learn that we have collected personal data from a child under 13, we will delete such data promptly. Parents can contact privacy@xellab.net to request data removal.

Third-Party Services

Groupn allows interaction with third-party websites, apps, and services. Groupn integrates third- party services as part of its functionality. These integrations are implemented under the ownership and control of Xel Lab, Inc. Xel Lab, Inc. is not responsible for the content, terms, or policies of third-party services. Integration partners include Stripe, Paystack, and Flutterwave for payment processing. Users must adhere to the terms of these third-party services when using them within Groupn.

Intellectual Property Notice

The Groupn app and its content, including logos and trademarks, are owned by Xel Lab, Inc. or its affiliates. All rights, obligations, and liabilities related to Groupn are the sole responsibility of Xel Lab, Inc. Unauthorized use of intellectual property is prohibited. Users retain ownership of content they create but grant Groupn a license to use, modify, and display it as necessary for app functionality.

Indemnity Clause

You agree to indemnify and hold harmless Xel Lab, Inc. and its affiliates, including GlobeLink Africa, LLC, from claims arising out of your use of the app or violation of these Terms. This includes claims related to third-party integrations or user-generated content. If a third-party brings a claim against Xel Lab or its affiliates related to your actions, information, or content on Groupn, you agree to indemnify and hold the Groupn Parties (i.e., directors, officers, and employees) harmless from all liabilities, damages, losses, and expenses (including reasonable legal fees) arising from such claims. This includes but is not limited to: (a) your access to or use of Groupn; (b) your breach of these Terms or applicable laws; or (c) any misrepresentation by you. Xel Lab may require your cooperation in the defense or settlement of such claims. This indemnification does not apply where prohibited by applicable law.

Limitation Of Liability

THE GROUPN PARTIES WILL NOT BE LIABLE FOR LOST PROFITS, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF GROUPN OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE AGGREGATE LIABILITY OF THE GROUPN PARTIES WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID TO XEL LAB IN THE PREVIOUS TWELVE MONTHS. THIS LIMITATION OF LIABILITY APPLIES TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, LIABILITY WILL BE LIMITED TO THE EXTENT PERMITTED BY LAW.

Community Guidelines

Users of Groupn must respect others and comply with applicable laws. Content promoting hate, violence, or illegal activities is strictly prohibited. Violations may result in account suspension, content removal, or legal action.

Data Retention Policy

Groupn retains user data for as long as necessary to provide services or as required by law. Upon request, your data can be deleted in accordance with applicable privacy laws. Data related to financial transactions may be retained longer for compliance purposes

Minimum Age Requirement

Groupn is intended for users aged 18 and older. By using the app, you affirm that you meet this age requirement. Xel Lab, Inc. reserves the right to request age verification.
